BASA RULES AND CONSTITUTION          2nd. November 2010

1. OBJECTIVES

The objectives of the Association shall be for the advancement of seed testing and for the co-operation and mutual advice amongst members on matters relating to seed testing and seed testing laboratories. A primary objective of the Association shall be to give assistance to the seed trade on matters relating to seed testing.

2. MEMBERSHIP

Membership of the Association is open to both qualified and unqualified seed  analysts and any other such persons as the Committee shall approve.

3. OFFICERS

The Officers of the Association shall be the Chairman, Vice-Chairman, Honorary Secretary and Honorary Treasurer.

4. EXECUTIVE

The operation of the Association shall be conducted through the Executive Committee, which shall consist of the Officers, the immediate Past Chairman, and up to eight other persons as may be elected at the Annual General Meeting of the Association..

5. ANNUAL GENERAL MEETING

The Annual General Meeting shall be held once every calendar year  and, at the latest, not longer than fifteen months from the date of the previous Anual General Meeting.

6. ELECTION OF OFFICERS - HONORARY AUDITOR AND EXECUTIVE COMMITTEE

The Officers of the Association and the Executive Committee  shall be elected every two years at the Annual General Meeting.
Additionally members may be elected to the Executive Committee at each Annual General Meeting where Cimmittee vacancies Exist.

7. QUORUM

A quorum at a General Meeting shall consist of not less than 6 fully paid members.

8. VOTING

Voting shall be restricted to fully paid members. Any proposal and/or amendment(s) to a proposal which are to be  put to a vote must be formally proposed and seconded. A vote, the results of which are binding, shall be taken on the amendment to a proposal prior to any vote on the proposal.

9. AMENDMENTS TO RULES

The Constitution and Rules may be amended at any time by a majority vote at a General Meeting, provided that due notice of each proposed amendment and the date of the meeting shall be notified to all members at least 21 days before the meeting.

10. SUB-COMMITTEES

Sub-Committees, may be formed, at the direction of the Executive Committee,  for particular purposes as and  when required, with powers to co-opt as appropriate..

11. SUBSCRIPTION

A subscription shall be agreed at the Annual General Meeting to apply for the following year. In the absence of any agreement, the existing subscription level will automatically apply. . If a subscription is not paid within three months of the invoice  date, the membership shall lapse.
